THE SUITE-PRO ADVANTAGE - PROMOTIONAL TERMS AND CONDITIONS

*This Promotion is subject to the following terms and conditions:
● General Promotion Terms
○ This Promotion is offered by Lightspeed Commerce Inc. ("Lightspeed") and only applies to eligible new Lightspeed Customers located in the United States and Canada who are migrating from NetSuite POS or SuiteCommerce InStore to an annual Lightspeed Retail Plus plan (X-Series or R-Series), in combination with the purchase of Pro Services and Lightspeed Payments (if eligible), before January 31, 2029, and subject to the execution of the applicable Order Form before January 31, 2029 (“Eligible Customers”).
○ Eligible Customers can benefit from the offer(s) (as described below) to the extent they meet all of the respective terms related to the offer(s) (the “Promotion”).
○ Eligibility for the Promotion, including verification that a Customer is migrating from NetSuite POS or SuiteCommerce InStore, shall be at Lightspeed’s sole discretion.
○ Activating Lightspeed Payments (and therefore becoming eligible for any promotion, discount or saving relating to it) is always subject to: (i) approval by Lightspeed of the Lightspeed Payments Merchant Application; and (ii) Customer starting regular use of this service for payment transactions within 60 days of subscribing for Lightspeed Payments. The offer may not be available for certain industries that cannot be serviced by Lightspeed Payments. Lightspeed reserves the right, at its sole discretion, to determine the eligible industries.
○ Eligible Customers can only apply the Promotion once, to multiple business locations.
○ The Promotion (i) does not apply to any other hardware, software or services purchased or subscribed to by an Eligible Customer, (ii) cannot be combined with any other Lightspeed offers or discounts and (iii) is not transferable or exchangeable and cannot be taken as cash. Fees for additional products and services may apply as identified on the Order Form.
○ To the extent permitted by law, Lightspeed, its Affiliates, their respective agents, directors, officers, employees, representatives, consultants and advisors shall not be liable for any claims, damages (including but not limited to indirect or consequential damages), injuries, costs and/or expenses suffered, sustained or incurred as a result of, arising out of, or in any way connected with this Promotion.
○ Lightspeed may extend, change, suspend or terminate this Promotion or modify its terms at any time.
○ These terms and conditions apply to the promotion (in addition to the Lightspeed Service Agreement found at https://www.lightspeedhq.com/legal/lightspeed-service-agreement/ and the Privacy Policy contained at https://www.lightspeedhq.com/legal/privacy-policy).
NetSuite, SuiteCommerce InStore, and related marks are trademarks of Netsuite/Oracle and/or their affiliates. Use of those names is for identification purposes only.
● The Suite-Pro Advantage Offer. Eligible Customers will benefit from a 20% discount on their subscription to an annual Lightspeed Retail Plus Plan (X-Series and R-Series) and related Pro Services, subject to the following additional terms:
The Promotion is only available to Eligible Customers who are migrating directly from NetSuite POS or SuiteCommerce InStore and who provide any supporting information or documentation reasonably requested by Lightspeed to confirm such migration.
- The 20% discount applies only to the duration of the initial contract term identified on the applicable Order Form.
- The Promotion does not apply to renewals, additional or subsequent licenses, add-ons, implementation or installation services, hardware, payment processing fees, or any other products or services not expressly identified on the applicable Order Form as discounted.
○ The Promotion is available only to new Lightspeed Customers and does not apply to existing Lightspeed customers, including customers adding locations, upgrading subscriptions, or switching between Lightspeed products or services.
○ The Promotion is valid only during the promotional period specified by Lightspeed and expires automatically at the end of that period, unless extended by Lightspeed in its sole discretion.
This Promotion is subject to applicable law and void where prohibited. Lightspeed may deny application of the Promotion if it determines that the Customer does not satisfy the eligibility requirements or otherwise breaches these terms and conditions.
Lightspeed reserves the right to revoke the Promotion and charge the discounted portion of the subscription fees if an eligible Lightspeed Payments Customer does not start using Lightspeed Payments for business transactions within the above-mentioned 60-day term.

Conditions générales de la promotion.
Cette Promotion est offerte par Lightspeed Commerce Inc. (« Lightspeed ») et s'applique uniquement aux nouveaux clients de Lightspeed situés aux États-Unis et au Canada qui effectuent une migration de NetSuite POS ou SuiteCommerce InStore vers un forfait annuel Plus de PDV Lightspeed détaillants (série X et série R), en combinaison avec l’achat des services Pro et de Paiements Lightspeed (si éligible), avant le 31 janvier 2029 et sous réserve de l’exécution du Bon de commande applicable au plus tard le 31 janvier 2029 (les « Clients éligibles »).
Les Clients éligibles peuvent bénéficier de l'offre (telle que décrite ci-dessous) dans la mesure où ils remplissent toutes les conditions respectives liées à ladite offre (la
« Promotion »).
L'éligibilité à la Promotion, y compris la vérification du fait qu'un Client éligible effectue une migration depuis NetSuite POS ou SuiteCommerce InStore, est à la seule discrétion de Lightspeed.
L'activation de Paiements Lightspeed (et donc le fait de pouvoir bénéficier de toute promotion, remise ou économie y afférente) est toujours soumise à : (i) l'approbation par Lightspeed de la Demande du Commerçant pour Paiements Lightspeed; et (ii) le fait que le Client commence à utiliser régulièrement ce service pour les transactions de paiement dans les 60 jours suivant sa souscription à Paiements Lightspeed. Cette Promotion pourrait ne pas être disponible pour certains secteurs d'activité que Paiements Lightspeed n'est pas en mesure de prendre en charge. Lightspeed se réserve le droit, à sa seule discrétion, de déterminer les secteurs d'activité éligibles.
Un Client éligible ne peut bénéficier de la Promotion qu'une seule fois, pour plusieurs établissements commerciaux.
La Promotion (i) ne s'applique à aucun autre matériel, logiciel ou service acheté ou souscrit par un Client éligible, (ii) ne peut être cumulée avec d'autres offres ou remises de Lightspeed et (iii) n'est ni cessible ni échangeable et ne peut être converti en espèces.
Des Frais pour des produits et services supplémentaires peuvent s'appliquer, comme indiqué sur le Bon de commande.
Dans la mesure où la loi le permet, Lightspeed, ses sociétés affiliées, leurs agents, directeurs, administrateurs, employés, représentants, consultants et conseillers respectifs ne seront pas responsables des réclamations, dommages (y compris, mais sans s'y limiter, les dommages indirects ou consécutifs), blessures, coûts et/ou dépenses subis, supportés ou encourus à la suite de, découlant de, ou liés de quelque manière que ce soit à cette Promotion.
Lightspeed peut prolonger, changer, suspendre ou mettre fin à cette Promotion ou modifier ses conditions à tout moment.
Ces termes et conditions s'appliquent à la promotion (en plus du Contrat de Service Lightspeed qui se trouve sur https://fr.lightspeedhq.com/legal/lightspeed-service-agreement-fr/ et de la Politique de protection de la vie privée qui se trouve sur https://fr.lightspeedhq.com/legal/politique-de-protection-de-la-vie-privee/.
NetSuite, SuiteCommerce InStore et les marques associées sont des marques de commerce de Netsuite/Oracle et/ou de leurs filiales. L'utilisation de ces noms est uniquement à des fins d'identification.
L’offre SuitePro Advantage: Les Clients éligibles bénéficieront d'une remise de 20% sur les frais de logiciel annuels pour leur forfait Plus de PDV Lightspeed détaillants (série X et série R) et les frais de services Pro associés, sous réserve des conditions supplémentaires suivantes:
Cette Promotion est réservée aux Clients éligibles qui effectuent une migration directement depuis NetSuite POS ou SuiteCommerce InStore et qui fournissent les informations ou documents justificatifs raisonnablement demandés par Lightspeed afin de confirmer cette migration.
La remise de 20% s'applique uniquement pendant la durée initiale du contrat indiquée sur le Bon de commande correspondant.
La Promotion ne s'applique pas aux renouvellements, aux licences supplémentaires ou ultérieures, aux modules complémentaires, aux services de mise en œuvre ou d'installation, au matériel, aux frais de traitement des paiements, ni à tout autre produit ou service qui n'est pas expressément mentionné comme bénéficiant d'une réduction ou d’une remise sur le Bon de commande correspondant.
Cette Promotion est réservée aux nouveaux clients Lightspeed et ne s'applique pas aux clients Lightspeed existants, y compris ceux qui ajoutent des établissements, mettent à niveau leur abonnement ou changent de produit ou de service Lightspeed.
La Promotion n'est valable que pendant la période promotionnelle spécifiée par Lightspeed et expire automatiquement à la fin de cette période, sauf prolongation à la seule discrétion de Lightspeed.
Cette Promotion est soumise à la législation applicable et est nulle là où la loi l'interdit. Lightspeed peut refuser l'application de la Promotion si elle estime qu’un client ne remplit pas les conditions d'éligibilité ou enfreint de quelque manière que ce soit les présentes Conditions générales.
Lightspeed se réserve le droit de révoquer la Promotion et de facturer la partie remise des frais, si un Client éligible ne commence pas à utiliser Paiements Lightspeed pour des transactions commerciales au cours de la période de 60 jours mentionnée ci-dessus.
