Lightspeed AI Terms

These Lightspeed AI Terms (the “Terms”), together with the Lightspeed Service Agreement and all documents incorporated by reference thereto (collectively, the “Agreement”) apply to your use of any feature, functionality, tool, or service offered by Lightspeed as part of, or in connection with, the Products and that incorporates generative or agentic artificial intelligence or machine learning (“AI Features”).  All capitalized terms used but not defined herein shall have the meaning set forth in the Lightspeed Service Agreement.  To the extent that these Terms conflict with any provision of the Lightspeed Service Agreement, the Terms will govern solely with respect to the AI Features to the extent of any such inconsistency. 

I. Customer Responsibilities, Ownership, and Service Operation

  1. When using AI Features, you agree to be solely responsible for (i) any content, data, prompts, instructions, or other input provided by you to the AI Features (“Inputs”); (ii) any corresponding text, images, recommendations, code, actions, or other content generated by or through the AI Features (“Outputs”); and (iii) ensuring that you have all rights, licenses, consents, and permissions necessary for the Inputs and that any and all use of the AI Features, including Inputs, Outputs and the use thereof, complies with applicable laws, regulations, third-party terms of service, and third-party rights.
  2. You retain rights in your Inputs. Subject to your compliance with the Terms and any rights of third parties, underlying model providers, and Lightspeed or its licensors in the AI Features, models, software, and technology used to generate Outputs, Lightspeed assigns to you any right, title, and interest Lightspeed may have in Outputs generated specifically for you through your authorized use of the AI Features. You acknowledge that, due to the nature of machine learning, Outputs may not be unique and similar or identical outputs may be generated for Lightspeed, other customers, or other third parties. Except for the foregoing limited assignment, Lightspeed and its licensors retain all right, title, and interest in and to the AI Features and all related models, algorithms, systems, software, know-how, and improvements.
  3. You agree that Lightspeed may use third-party AI providers, model providers, subprocessors, and infrastructure providers to provide all or part of the AI Features, and that certain third-party terms, usage policies, availability constraints, geographic restrictions, rate limits, or technical limitations may apply. Inputs, Outputs, and related data may be shared with such parties as necessary to provide, secure, maintain, support, or improve the AI Features. Lightspeed is not responsible for any act, omission, outage, degradation, unavailability, model change, or policy change of any such third-party provider.
  4. You grant Lightspeed and its service providers, subprocessors, contractors, and third-party providers engaged on Lightspeed’s behalf a worldwide, non-exclusive, royalty-free license to host, use, reproduce, transmit, process, store, modify, and create derivative works from Inputs and Outputs solely to the extent necessary to:
    1. provide, operate, maintain, support, improve, and make available the AI Features and related Services;
    2. prevent, detect, investigate, and remediate fraud, abuse, security incidents, and violations of the Terms; and
    3. comply with law, legal process, and governmental request, and enforce the Agreement.

II. Use Restrictions and Restricted Data

  1. You agree not to include in any Input any of the following, and you acknowledge that the AI Features are not intended for the processing or storage of such data (collectively, “Restricted Data”):
    1. payment card data;
    2. bank account or other financial account credentials;
    3. government-issued identification numbers;
    4. health or medical information subject to heightened legal protection;
    5. biometric data;
    6. children’s personal information;
    7. sensitive personal data; or
    8. point-of-sale data that is subject to heightened contractual, network-rule, industry-standard, or legal restrictions, including transaction authentication data, full payment card track data, card verification values, PINs, or comparable payment-security data.
  2. In addition to the restrictions on the use of any Products in violation of the Acceptable Use Policy, Intellectual Property Infringement Policy, and the Lightspeed Service Agreement, you agree not to use the AI Features to generate content that is illegal, harmful, misleading, fraudulent, defamatory, infringing, harassing, or violates any rights; to train, fine-tune, or otherwise improve other artificial intelligence or machine learning models; to reverse engineer, extract, reconstruct, or discover any source code, model weights, prompts, or underlying components of the AI Features; to circumvent any safeguards, rate limits, filters, or access restrictions; or to use the AI Features or Outputs for competitive analysis, benchmarking, or the development of any competing product or service.
  3. Lightspeed reserves the right to immediately suspend, terminate, or otherwise modify your access to AI Features if Lightspeed identifies, in its sole discretion, any misuse of the AI Features.

III. Output Review and High-Impact Use Restrictions

  1. You agree to review and verify all Outputs for accuracy, legality and suitability before any use thereof, including informing your end-users if content is AI-generated. You are solely responsible for evaluating the accuracy, legality and suitability of any Output for your intended use, and for all of your decisions made, actions taken, and failures to act based on any Output.
  2. You agree not to use any Output relating to an identifiable person as the sole or primary basis for decisions, profiling, scoring, or other processing that could produce legal, material, or similarly significant effects concerning that person, including decisions relating to employment, compensation, credit, lending, insurance, housing, education, healthcare, legal services, law enforcement, immigration, or access to essential goods or services.

IV. Disclaimers, Liability Limits, and Indemnification

  1. Disclaimer.  THE AI FEATURES AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHTSPEED AND ITS AFFILIATES, LICENSORS, THIRD-PARTY PROVIDERS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, OR THAT THE AI FEATURES WILL BE ERROR-FREE, UNINTERRUPTED, SUITABLE FOR YOUR USE CASE, OR THAT ANY OUTPUT WILL BE AVAILABLE, CURRENT, OR RETAINED FOR ANY PERIOD OF TIME. LIGHTSPEED DOES NOT WARRANT THAT OUTPUTS WILL BE CORRECT, UNIQUE, LAWFUL, NON-INFRINGING, OR COMPLIANT WITH YOUR OBLIGATIONS, OR THAT OUTPUTS WILL NOT INCLUDE, REFLECT, OR BE BASED ON THIRD-PARTY CONTENT, MATERIALS, OR INFORMATION.
  2. Limitation of Liability. Without limiting the foregoing, Lightspeed will not be responsible for decisions made, actions taken, or failures to act based on any Output, or for any act, omission, outage, degradation, unavailability, model change, output change, or policy change of any third-party provider. Any liability of Lightspeed arising from the AI Features will be subject to the exclusions, limitations, and caps set forth in the Lightspeed Service Agreement.
  3. Indemnification. You will defend, indemnify, and hold harmless Lightspeed, its affiliates, third-party providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
    1. your Inputs, including any Restricted Data included in violation of these Terms, or any allegation that you lacked sufficient rights, licenses, consents, or permissions to submit or use such Inputs;
    2. your use of any AI Feature or Output, including any decision made, action taken, or failure to act based on any Output, or your use of any Output in any product, service, or workflow;
    3. your violation of the Terms, applicable law, or any applicable third-party terms, policies, or usage restrictions; or
    4. any allegation that your Inputs, or your use, modification, distribution, display, or exploitation of Outputs, including in combination with other content, data, products, or systems, infringe, misappropriate, or violate any third-party rights.

V. Service Changes and Updates

  1. You acknowledge that AI Features may evolve, that underlying models, providers, and functionalities may change over time, and that Outputs may differ for the same or similar Inputs from one time to another.
  2. Lightspeed may add, remove, suspend, discontinue, modify, or impose limits on any AI Features or the Terms at any time in its sole discretion. Any modifications to the Terms will be made by updating this web page or otherwise notifying you in accordance with the terms of the Lightspeed Service Agreement, and your continued use of the AI Features after such update constitutes acceptance of any modifications.
