General Terms of the Promotion.

1. This promotion is offered by Kounta Pty Ltd (ABN: 38 160 947 384), Level 1, 17 Eveleigh St, Chippendale NSW 2008, Australia, Lightspeed Commerce Inc., 300-700 rue Saint-Antoine West, Montreal, Quebec H2Y 1A6 and Vend Limited (NZBN: 9429032378153), 2 Nuffield Street, Newmarket, Auckland 1023 (collectively “Lightspeed”) and only applies to new Lightspeed Customers located in Australia who subscribe to a yearly (i) Lightspeed Retail (X-Series) Core or Plus Plan; (ii) Lightspeed Restaurant POS (O-Series) plan; or (iii) Lightspeed Restaurant (K-Series) plan (collectively the “Eligible Plans”), in combination with Lightspeed Payments, between January 31, 2026 and December 31, 2026, subject to the execution of the applicable Order Form on or before December 31, 2026 (“Eligible Customers”). Eligibility for the promotion shall be at Lightspeed’s sole discretion.

2. Activating Lightspeed Payments (and therefore becoming eligible for any promotion, discount or saving relating to it) is always subject to: (i) approval by Lightspeed of the Lightspeed Payments Merchant Application; and (ii) Customer starting regular use of this service for payment transactions within 30 days of subscribing for Lightspeed Payments. The offer may not be available for certain industries that cannot be serviced by Lightspeed Payments. Lightspeed reserves the right, at its sole discretion, to determine the eligible industries.

3. If applicable: Any discounted hardware provided to the Customer is conditional upon Customer using Lightspeed’s point of sale services and Lightspeed Payments, to the extent applicable, for at least twenty-four (24) months from the date of such discount. If the Customer (i) ceases to use Lightspeed’s point of sales services within twenty-four (24) months of the date of such discount, (ii) does not begin processing transactions with Lightspeed Payments within thirty (30) days of the date of such discount or (iii) does not continue to process bona fide transactions representing a minimum daily average of 100.00 in local currency in transaction volume, as measured monthly, with Lightspeed Payments for at least twenty-four (24) months from the date of such discount, then Customer agrees to immediately pay Lightspeed the value of the hardware, plus shipping costs.

4. Eligible Customers can benefit from the offer(s) (as described below) to the extent they meet all of the respective terms related to the offer(s).

5. Subject to these terms, conditions and exclusions, Eligible Customers will benefit from: two (2) free months of their Eligible Plan’s software fees, up to a maximum amount determined in Lightspeed’s sole discretion (the “Promotion”), subject to the following additional terms and conditions :

- The Promotion applies only to Eligible Customers who subscribe to an Eligible Plan for at least twelve (12) months.

- The Promotion only applies to two (2) months of software license fees for the select Eligible Plans and does not extend to any additional or subsequent licenses, add-ons, renewals, installation services.

- The Promotion can only be redeemed once per Eligible Customer.

- In order to benefit from the Promotion, Eligible Customers must pay for the first month of their Eligible Plan, and will receive the next two months of their Eligible Plan’s software fees free (up to a maximum amount determined in Lightspeed’s sole discretion).

- Lightspeed reserves the right to revoke the Promotion and charge the full monthly fees for the Eligible Plan, if a Customer does not start using Lightspeed Payments for business transactions within the above-mentioned 30-day term.

- To claim the Promotion, the Eligible Customer must (i) submit a lead form on Lightspeed’s website and (ii) confirm its eligibility for the Promotion and required details (including, but not limited to, business entity name and billing information) with a Lightspeed sales representative. The Promotion will not be applied unless such information is confirmed with a Lightspeed sales representative.

- The value of the two (2) free months will be reimbursed to the Eligible Customer in the form of an account credit. The credit will be applied after all conditions of this Promotion have been satisfied and will be used toward future Lightspeed software subscription charges.

6. The Promotion (i) does not apply to any other hardware, software or services purchased or subscribed to by an Eligible Customer; (ii) cannot be combined with any other Lightspeed offers or discounts; and (iii) is not transferable or exchangeable, and cannot be taken as cash. Fees for additional products and services may apply as identified on the Order Form.

7. To the extent permitted by law, Lightspeed, its Affiliates, their respective agents, directors, officers, employees, representatives, consultants and advisors shall not be liable for any claims, damages, injuries, costs and/or expenses suffered, sustained or incurred (including but not limited to indirect or consequential) as a result of, arising out of, or in any way connected with this Promotion.

8. Lightspeed may extend, change, suspend or terminate this Promotion or modify its terms at any time.
